Therefore, we expect all employees, contractors, and representatives associated with our organization to adhere to the following Code of Conduct:

1) Purpose & Scope
This Code sets expectations for ethical behavior and legal compliance. It supplements (and does not replace) applicable laws, regulations, employment contracts, supplier agreements, and internal policies. Where local law is stricter than this Code, follow local law.
2) Lawful & Ethical Conduct

Act fairly and in the best interests of Vastika. Avoid conflicts of interest and disclose any potential conflicts.

Provide accurate, complete, and timely information in records, reports, and communications.

Never engage in fraud, deception, or other illegal or unethical behavior.
-
Use company assets and confidential information responsibly and only for legitimate business purposes.

Treat colleagues, customers, suppliers, and community members with dignity and respect.
3) Anti-Bribery & Anti-Corruption (ABAC)
We have zero tolerance for bribery and corruption in any form.

Do not offer, promise, give, request, or accept anything of value to improperly influence a business decision or gain an unfair advantage.

Extra care is required when dealing with government officials. Facilitation or “grease” payments are strictly prohibited.

Gifts and hospitality must be modest, infrequent, and lawful. Anything lavish or frequent is not allowed.

All transactions must be recorded completely and accurately. Off-the-books accounts and false entries are prohibited.

Watch for red flags such as unusual payment requests, vague contracts, or excessive commissions.
4) Compliance with Laws & Regulations

Antitrust & competition: Never collude with competitors on pricing, bids, or markets.

Trade controls & sanctions: Follow all export/import rules and obtain required licenses before cross-border transfers.

Data protection & privacy: Handle personal data lawfully, securely, and only for approved purposes.

Labor, health & safety: Follow all workplace laws and report hazards or unsafe conditions promptly.

Environmental compliance: Meet or exceed all applicable environmental laws and permits.
5) Environmental Responsibility

Identify and mitigate environmental risks. Manage emissions, waste, and hazardous materials safely.

Use energy, water, and resources efficiently; reduce waste; promote reuse and recycling.

Support initiatives that reduce environmental impact and encourage suppliers to do the same.
6) Respectful, Safe & Inclusive Workplace

Provide equal opportunity and make decisions based on merit, qualifications, and business needs.

Harassment, bullying, and discrimination are not tolerated.

Maintain a safe and healthy workplace. Never work under the influence of drugs or alcohol.
7) Company Assets, Confidentiality & Records

Use company property and technology responsibly and protect against misuse.

Safeguard confidential and non-public information. Share only with authorized parties.

Maintain accurate and complete financial and business records.
8) Third Parties & Suppliers

Perform due diligence on agents, resellers, and consultants.

Include compliance and anti-corruption requirements in contracts.

Expect suppliers to uphold comparable standards, including fair labor, safety, and environmental responsibility.
9) Reporting Concerns & Non-Retaliation
If you see or suspect misconduct, speak up. You may report to:

Reports may be made confidentially or anonymously where allowed by law. Retaliation is strictly prohibited against anyone who reports in good faith or participates in an investigation.
10) Accountability, Training & Enforcement

Leaders must set the tone and foster a culture of compliance.

Training and certifications may be required periodically.

Violations may result in disciplinary action up to and including termination, and may also lead to civil or criminal liability.
